These Terms of Service ("Terms") govern your access to and use of the EasyReply platform and services (the "Service"), provided by EasyReply Ltd. ("EasyReply", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Account Registration and Access

Eligibility: You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old.

Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

Workspace: Each customer account will have its own dedicated workspace. You are responsible for all content posted and activity that occurs under your workspace.

2. Use of the Service

License: Subject to your compliance with these Terms, EasyReply grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

Restrictions: You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service or its related systems or networks.
• Copy, modify, distribute, sell, or lease any part of our Service or included software.
• Use the Service to send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, or other forms of solicitation.

Customer Communications: The Service is designed to process and store customer email communications. You are solely responsible for the content of all such communications and for ensuring that your use of the Service complies with all applicable laws and regulations, including data protection and privacy laws.

Third-Party Email Providers: EasyReply utilizes third-party email providers (e.g., Postmark) for email ingestion and delivery. You acknowledge and agree that your use of the Service is also subject to the terms and conditions of these third-party providers.

3. Intellectual Property

EasyReply Ownership: The Service, including all intellectual property rights in and to the Service (including but not limited to software, design, text, graphics, logos, and trademarks), is and will remain the exclusive property of EasyReply Ltd. EasyReply™ is a registered trademark in the United Kingdom (Registration Number: UK00004045198) relating to email and AI software. These Terms do not grant you any right to use EasyReply's trademarks, logos, domain names, or other brand features.

Your Data: You retain all ownership rights to the data you submit to the Service, including your customer communications. You grant EasyReply a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your data solely for the purpose of providing and improving the Service.

4. Fees and Payment

Subscription: Access to the Service is provided on a subscription basis. You agree to pay all applicable fees for your subscription plan.

Billing: All fees are billed in advance on a recurring basis (e.g., monthly or annually). You will be notified of any changes to fees or billing methods.

Refunds: All fees are non-refundable, except as required by law.

5. Data Protection and Privacy

Our Privacy Policy, available on our website, explains how we collect, use, and protect your personal data. By using the Service, you agree to the terms of our Privacy Policy. You acknowledge that customer communications and other data may be stored and processed within the European Economic Area (EEA) and that EasyReply complies with UK GDPR.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed by the other party, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

7. Disclaimers and Limitation of Liability

Disclaimer of Warranties: The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Limitation of Liability: In no event shall EasyReply, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. Indemnification

You agree to defend, indemnify and hold harmless EasyReply and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

9. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in England and Wales to resolve any dispute arising out of these Terms.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
